BLACK X Subscription Terms & Conditions
1. Introduction
These Subscription Terms & Conditions (“Terms”) govern the use of BLACK X smart locks, accessories, mobile applications, cloud-connected features, and services that require an active BLACK X Premium Subscription.
By activating a BLACK X Smart Lock or using the BLACK X App, you agree to these Terms and the BLACK X Privacy Policy.
Nothing in these Terms limits or affects your statutory consumer rights.
2. Complimentary 12-Month Premium Subscription
Each BLACK X Smart Lock includes a complimentary 12-month BLACK X Premium Subscription (“Initial Term”).
- The Initial Term begins automatically when the lock is first activated in the BLACK X App
- All Premium features are available during this period at no cost
- The complimentary subscription is non-transferable except where the lock itself is transferred to a new owner
3. Subscription Renewal, Fees & Reminders
After the Initial Term expires:
- Premium Subscription cost:
- $25.00 USD per year - BLACK X Smart Door Locks
- $12.00 USD per year - BLACK X Smart Bike Locks
- Local currency conversion is handled by PayPal at checkout
- No automatic billing and no auto-renewal
- Renewal must be completed manually inside the BLACK X App via the user’s account or subscription section
- No payment is taken unless the user actively chooses to renew
Renewal Reminders
Where possible, BLACK X may provide subscription-expiry reminders prior to the end of a subscription term.
Reminders may be delivered via:
- In-app notifications
- Push notifications
Delivery method, timing, and availability depend on user settings, device permissions, and service availability.
Users remain responsible for monitoring their subscription status. Failure to receive a reminder does not affect subscription expiry or access to Premium features.
4. Subscription Plans: Basic vs Premium
4.1 Plan Comparison
Features may vary by model, region, and future software updates. Any material changes will be communicated where required by law.
5. Premium Features
With an active Premium Subscription, users receive access to:
- Bluetooth app unlocking
- Full user and access-management controls
- Unlimited digital keys
- Guest permissions
- Real-time notifications and alerts
- Activity and event history
- Firmware and security updates
- Smart home integrations (region-dependent)
- Full functionality of BLACK X smart accessories
The extended warranty benefit applies only to the primary BLACK X Smart Lock hardware and does not apply to accessories.
6. Smart Accessories
BLACK X smart accessories are sold separately and include:
- BLACK X Keypad (xPad / xPad+)
- BLACK X Fingerprint Reader (xPad+ model)
- BLACK X Remote Fob (xKey)
- BLACK X NFC cards or tags (xPad+ model)
- BLACK X Wi-Fi Bridge
6.1 While a Premium Subscription Is Active
All accessories operate fully with user-level permissions and cloud authentication.
6.2 When a Subscription Expires
If a subscription is not renewed:
- All smart accessories become inactive
- PINs, fingerprints, NFC credentials, and fobs cannot unlock the lock
- Accessories remain paired but disabled
- Functionality is restored immediately upon renewal
- Mechanical key access remains available at all times
7. Payment & Currency
- payments are processed securely through PayPal within the BLACK X App
- Users may pay using PayPal or supported debit/credit cards via PayPal
- BLACK X does not store or process payment information
- Taxes or local fees may apply depending on region
8. Cancellation & Refund Policy
8.1 Complimentary Subscription
The complimentary 12-month subscription is non-refundable.
8.2 Paid Subscription
- Users may cancel at any time within the BLACK X App via their account or subscription settings
- Cancellation takes effect at the end of the current paid period
- Partial refunds are not issued unless required by applicable local law
- No automatic renewal occurs
9. Subscription Account Rules
- Subscriptions are linked to both the specific lock and the activating user account
- One subscription applies to one lock per registered user
- Subscriptions transfer with the lock when ownership is transferred
- Resetting or re-pairing a lock does not create a new subscription or extend the remaining period
10. Transparency, Compliance & Consumer Rights
BLACK X complies with applicable subscription and consumer-protection laws, including those in the USA, Canada, UK, EU, Australia, New Zealand, and South America.
These Terms do not override mandatory consumer protections.
11. Service Availability & Downtime
BLACK X aims for continuous service availability. Temporary interruptions may occur due to maintenance, updates, network issues, or events outside BLACK X’s control.
Mechanical key access remains operational at all times.
12. User Responsibilities
Users are responsible for:
- Securing BLACK X App login details
- Keeping the app and device OS up to date
- Using approved BLACK X accessories
- Following installation and usage instructions
BLACK X is not responsible for issues caused by incorrect installation, unauthorised modification, third-party accessories, or incompatible devices.
13. Data Protection & Privacy
BLACK X processes personal data in accordance with applicable privacy laws including GDPR, CPRA, PIPEDA, and regional equivalents.

14. Fair Use & Prohibited Conduct
Users may not:
- Attempt to bypass subscription requirements
- Reverse-engineer firmware
- Misuse digital keys or access features
- Register fraudulent accounts
- Sell or redistribute access credentials
BLACK X may suspend accounts engaged in abuse or fraud.
15. Intellectual Property Rights
All software, firmware, and digital content remain the exclusive property of BLACK X.
Users receive a limited, revocable license to operate their device via BLACK X software.
16. Compatibility Disclaimer
BLACK X devices must be used only with approved BLACK X hardware and software.
BLACK X is not responsible for:
- Malfunctions caused by unsupported accessories
- Damage from improper installation
- Wireless interference
- Use in unsupported environments
17. Force Majeure
BLACK X is not liable for delays or failures caused by events outside its control, including:
- Network failures
- Natural disasters
- Government restrictions
- Supplier outages
- Conflicts or emergencies
18. Governing Law
Applicable law is determined by region:
United States & Canada → Laws of the United States
United Kingdom → Laws of England and Wales, except where mandatory consumer law in Scotland or Northern Ireland applies
European Union → Laws of the consumer’s country of residence
Australia & New Zealand → Laws of Australia
South America → Local mandatory consumer law
19. Governing Language
If BLACK X provides translated versions of these Terms, the English version prevails in case of conflict.
